We are looking for a multi-talented Contracts & Corporate Governance Manager to support our legal and business infrastructure across commercial, regulatory, and corporate domains. This hybrid role spans contracts management, corporate governance and legal operations. You’ll take ownership of contract workflows, support compliance, and assist with corporate matters such as entity management and equity administration. You'll be a strategic partner to the Finance & Accounting team reporting to the CFO working across departments to ensure we scale efficiently.

What you will do at Health Gorilla:

Contracts Management

    • Draft, review, and negotiate commercial agreements including:
      • Business Associate Agreements
      • Order Forms and Master Service Agreements
      • Data Processing Agreements
      • NDAs, SOWs, vendor and subcontractor agreements
    • Ensure all contracts align with HIPAA, HITECH, and internal security standards.
    • Manage the full contract lifecycle: intake, drafting, negotiation, execution, renewal tracking.
    • Maintain (and create where necessary) and update templates and clause libraries; enforce consistency across agreements.
    • Manage contract lifecycle and legal workflow tools (e.g., Tropic, DocuSign).
    • Establish and track legal department KPIs (e.g., contract cycle time, request volume, risk issues).

Corporate Governance & Equity Support

    • Assist with entity management and state corporate filings.
    • Help maintain corporate records.
    • Work with Finance and People Ops on cap table updates, stock option grants, and compliance using Carta.
    • Assist with corporate structuring, financings, and governance compliance.

Other

    • Support external counsel management and legal spend tracking.
    • Prepare documentation for regulatory audits (e.g., HIPAA, SOC 2, HITRUST).
    • Build and maintain internal legal process documentation, SOPs, and playbooks.

What you bring to the role:

  • Education: Bachelor’s degree in Legal or Paralegal Studies, Business, or related field.
  • Experience:
    • 5+ years of experience in legal support roles, ideally at a SaaS or healthtech company
    • Strong working knowledge of HIPAA, HITECH, and PHI-related contract terms
    • Proficiency with contract lifecycle management tools and document automation systems
    • Experience supporting or managing legal operations initiatives
    • Exposure to corporate governance and familiarity with cap table tools (e.g., Carta)
    • Familiarity with Delaware corporate law and common startup governance norms
    • Understanding of stock option plans, 409A compliance, and equity administration basics
  • Exceptional attention to detail, organization, and excellent verbal and written communication skills.
  • Teamwork: Ability to collaborate effectively with cross-functional teams in a fast-paced environment.
  • Organizational Skills: Strong time-management skills, with the ability to manage multiple tasks and meet tight deadlines.

What You Will Love About Us!

  • Health Gorilla takes a market-based approach to pay, and the base salary range for this role is $115,000 to $150,000, based on experience and geography. Please note that ranges may be modified at any time, and there is no guarantee offers will be at the top of a posted range.
